Terms and Conditions

Please read these Terms and Conditions carefully before engaging the services of NN Accountability Bookkeeping & Training Group. By engaging our services, booking an appointment, or using our website, you agree to be bound by these terms.

1. About Us

These Terms and Conditions govern the services provided by NN Accountability Bookkeeping & Training Group ("NNA""we""us", or "our"), a registered Australian business (ABN: 97 161 187 382). NNA is a registered BAS Agent (Tax Agent Number: 247 0663) and a member of the Institute of Public Accountants (IPA: 199 550). We are a Xero Gold Champion Partner.

Our principal services include Xero setup and conversion, Xero training and support, Xero health checks, bookkeeping, BAS preparation, tax accounting, and related financial services for Australian small and medium-sized businesses.

2. Acceptance of Terms

By engaging NNA's services, booking an appointment, submitting an enquiry through our website, or using our website at www.nnaccountability.com.au, you confirm that you have read, understood, and agree to these Terms and Conditions. If you do not agree, please do not use our services or website.

These terms apply to all clients, whether individuals, sole traders, companies, trusts, partnerships, or non-profit organisations.

3. Our Services

NNA provides the following professional services:

  • Xero Setup & Conversion - Setting up new Xero files or migrating from other accounting software
  • Xero Training & Support - One-on-one and group training, delivered face-to-face or online, plus ongoing support
  • Xero Health Check - A detailed review of an existing Xero file by a certified Xero accountant
  • Xero Integrations - Integration of third-party apps with Xero, including Cliniko and other practice management software
  • Bookkeeping - Ongoing bookkeeping services for small and medium-sized businesses
  • BAS Preparation - Preparation and lodgement of Business Activity Statements by a registered BAS Agent
  • Tax Accounting - Individual and business tax returns, and related taxation advice
  • Non-Profit Bookkeeping - Specialised bookkeeping services for not-for-profit organisations

The specific scope of services provided to you will be confirmed in writing (via email or a separate engagement letter) prior to commencement. Any services outside the agreed scope may be subject to additional fees.

4. Engagement and Scope of Work

All engagements commence upon your written acceptance of a quote or proposal, or upon payment of a deposit or invoice where applicable. NNA will confirm the agreed scope of work in writing before services begin.

Any changes to the agreed scope of work must be discussed and agreed in writing before additional work is undertaken. NNA reserves the right to charge additional fees for work performed outside the original scope.

Where an engagement letter or separate agreement has been signed, that document forms part of these Terms and Conditions and, in the event of any inconsistency, the engagement letter will prevail.

5. Client Responsibilities

To allow NNA to deliver services effectively, you agree to:

  • Provide accurate, complete, and up-to-date information and documentation in a timely manner
  • Promptly respond to requests for information, approvals, or clarification
  • Ensure that any information provided to NNA for the purpose of tax returns, BAS preparation, or financial reporting is accurate and complete to the best of your knowledge
  • Notify NNA promptly of any changes to your business circumstances that may affect the services being provided
  • Maintain appropriate access credentials for Xero and any integrated software, and provide NNA with the access necessary to perform agreed services
  • Review and approve all work product (including BAS, tax returns, and financial reports) before lodgement or finalisation

NNA is not responsible for errors, delays, or additional costs arising from inaccurate, incomplete, or late provision of information by the client.

6. Fees and Payment

Fees for NNA's services are as quoted or as agreed prior to engagement. Unless otherwise stated in writing:

  • Invoices are due within 14 days of the invoice date
  • Payment may be made by bank transfer, credit card, or such other methods as NNA may offer from time to time
  • For ongoing bookkeeping or retainer arrangements, payment terms will be as specified in the engagement agreement
  • NNA reserves the right to require a deposit before commencing work on any engagement

Late payments may incur interest at the rate of 1.5% per month on the outstanding balance, calculated from the due date. NNA reserves the right to suspend or cease services where payment is overdue.

All fees are quoted in Australian dollars (AUD) and are inclusive of GST unless otherwise stated.

7. Cancellations and Rescheduling

For training sessions and scheduled appointments:

  • Cancellations or rescheduling requests made with less than 24 hours' notice may incur a cancellation fee of up to 50% of the session fee
  • Cancellations made with less than 2 hours' notice, or failure to attend without notice (no-show), may be charged the full session fee
  • NNA will endeavour to provide reasonable notice if we need to reschedule an appointment and will offer an alternative time at no additional cost

8. Confidentiality

NNA understands that the financial and business information you share with us is sensitive. We treat all client information as strictly confidential and will not disclose it to any third party except:

  • Where required by law (including disclosures to the Australian Taxation Office or other regulatory bodies)
  • Where you have given us explicit written authorisation to do so
  • To our staff, contractors, or professional advisors who require the information to deliver your services, and who are bound by equivalent confidentiality obligations
  • To third-party software platforms (such as Xero) as necessary to perform agreed services

9. Professional Obligations

As a registered BAS Agent and IPA member, NNA operates under professional codes of conduct and ethical obligations set by the Tax Practitioners Board (TPB) and the Institute of Public Accountants. Our services are provided in accordance with applicable Australian legislation and professional standards.

NNA will exercise reasonable professional skill and care in the performance of all services. However, our services are based on the information provided to us by you, and we are not responsible for outcomes arising from inaccurate or incomplete information provided by you or a third party.

10. Limitation of Liability

To the maximum extent permitted by law:

  • NNA's total liability to you in connection with any services provided under these Terms, whether in contract, tort (including negligence), or otherwise, is limited to the total fees paid by you for the specific services giving rise to the claim
  • NNA is not liable for any indirect, consequential, special, or incidental loss or damage, including loss of profit, loss of data, or loss of business opportunity, arising from the provision of or failure to provide services
  • NNA is not liable for any penalties, fines, or interest imposed by the Australian Taxation Office or any other government body as a result of inaccurate, incomplete, or untimely information provided by you

Nothing in these Terms limits any rights you may have under Australian Consumer Law that cannot be excluded by agreement.

11. Australian Consumer Law

Our services come with consumer guarantees under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot be excluded. Where NNA provides services to a consumer (as defined under Australian Consumer Law), you are entitled to have services supplied with due care and skill and fit for the purpose for which they are supplied. Nothing in these Terms is intended to exclude or limit those statutory rights.

12. Intellectual Property

All materials, templates, tools, training resources, and documentation created by NNA and provided to you in the course of our services remain the intellectual property of NNA unless otherwise agreed in writing. You are granted a non-exclusive licence to use such materials for your own internal business purposes only.

You must not reproduce, distribute, or on-sell NNA's materials or training content without prior written consent.

13. Third-Party Software and Services

NNA works with and recommends third-party software including Xero and various Xero-integrated applications. While we are a Xero Gold Champion Partner, NNA is an independent business and is not responsible for:

  • The performance, availability, or terms of service of Xero or any third-party software
  • Any changes to Xero's features, pricing, or policies
  • Any loss arising from reliance on third-party software or integrations

Any fees payable to Xero or other third-party providers are separate from NNA's fees and are your responsibility.

14. Website Use

The content on our website is provided for general information purposes only. While we take care to keep our website content accurate and current, we make no warranty that the information is complete, accurate, or up to date at all times. The website content does not constitute professional financial or taxation advice.

You must not use our website in any way that is unlawful, harmful, or that infringes the rights of any third party.

15. Termination of Services

Either party may terminate an engagement by providing written notice. Upon termination:

  • You remain liable for all fees for work completed or in progress up to the date of termination
  • NNA will provide you with all completed work product and any client documents or data held by us
  • Any outstanding invoices become immediately due and payable

NNA reserves the right to immediately suspend or terminate services where a client acts in breach of these Terms, fails to make payment, or behaves in a manner that is abusive or threatening toward our staff.

16. Dispute Resolution

We are committed to resolving disputes promptly and fairly. If you have a concern or complaint about our services, please contact us in the first instance using the details below. We will acknowledge your complaint within 5 business days and work with you to reach a resolution.

If a dispute cannot be resolved through direct negotiation, either party may refer the matter to mediation before commencing legal proceedings. The parties agree to act in good faith throughout any dispute resolution process.

17. Governing Law

These Terms and Conditions are governed by the laws of Queensland, Australia. Any disputes that cannot be resolved by agreement are subject to the exclusive jurisdiction of the courts of Queensland.

18. Changes to These Terms

NNA may update these Terms and Conditions from time to time. The current version will always be available on our website. Where changes are material, we will notify existing clients by email. Continued use of our services after notification of changes constitutes acceptance of the updated terms.
